Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using the TalkaNote mobile application or related services (“Service”), you (“User”) agree to be bound by these Terms of Service (“Terms”). If you do not accept these Terms, do not use the Service. Your use of the Service is also governed by our Privacy Policy.

2. Service Overview

TalkaNote is a mobile app for recording, transcribing, and AI-powered processing of voice notes. The app operates on a credit and subscription system. You can record audio, generate transcripts, and create AI-enhanced content (summaries, structured notes, etc.).

3. User Eligibility

• The Service is open to users of all ages. If you are under the age required by your country to consent to data processing, use the app under supervision of a parent or guardian.
• The Service is not available in France.
• The Service is for personal, non-commercial use only.

4. Accounts and Registration

• Sign-in is available only via Apple ID (Apple Sign-In). Anonymous or guest usage is not supported.
• Your credits, purchases, and subscriptions are linked to your Apple ID and managed through Apple and RevenueCat.
• It is your responsibility to keep your Apple credentials secure and notify Apple if you suspect unauthorized access.

5. Credits, Subscriptions, and Payments

• Certain features (transcription, AI processing) require credits, which may be purchased or received as part of a subscription.
• Credits and subscriptions are managed through Apple In-App Purchase and RevenueCat, and are associated with your Apple ID.
• Credits and subscriptions are non-transferable and non-refundable unless required by law.
• If you delete your account, your credits and usage history will be deleted from TalkaNote. However, credits and subscription status will be restored if you sign in again with the same Apple ID, as long as the subscription is still valid. (Your Apple ID is your persistent account identifier.)

• If payment cannot be processed or is reversed, access to paid features may be suspended or terminated.

6. AI Content and Disclaimer

• Transcriptions, summaries, and other AI-generated content are produced by third-party artificial intelligence services (e.g., OpenAI).
• TalkaNote does not guarantee the accuracy, reliability, or completeness of any AI-generated content.
• You must not rely solely on AI content for important or legal decisions.
• TalkaNote is not liable for any loss or damages resulting from AI content or its use.

7. User Content and Intellectual Property

• You retain ownership of your audio, transcripts, and user-generated content.
• By using the Service, you grant TalkaNote a limited license to process, store, and transmit your content as necessary to provide the Service.
• You are responsible for ensuring your content does not infringe any rights or laws.
• The app, software, brand, and all intellectual property belong to the developer.

8. Prohibited Conduct

• You agree not to:
• Violate any laws or regulations;
• Use the Service for commercial purposes or to serve third parties;
• Upload or share content that is unlawful, offensive, infringing, or abusive;
• Reverse engineer, hack, disrupt, or interfere with the Service or its systems;
• Attempt unauthorized access to accounts, systems, or data;
• Circumvent credit or subscription limitations or misuse promotions.
• Abuse the Service, including attempts to exploit, spam, or overload the app or backend services. Accounts found abusing the system may be terminated without notice.
• Attempt to bypass or exceed technical, file size, or fair usage limitations imposed by the app or backend services.
  This includes (but is not limited to) uploading audio files significantly larger than allowed, automated/scripted usage, or any activity deemed abusive by the developer. In such cases, your access may be restricted, limited, or terminated at any time.

9. Data Deletion, Account Termination, and User Controls

• You may delete your data (audio, transcripts, AI content) or your entire account at any time using the app. This process is irreversible and all your personal data, usage history, and content stored in TalkaNote will be permanently deleted and cannot be restored.
• If you have credits or an active subscription linked to your Apple ID, and you sign in again before your subscription expires, both your credits and subscription benefits will be restored automatically.
• Manual (e-mail or external) data deletion or change requests are not supported; all actions must be completed in-app.
• We may suspend or terminate your access at any time if you violate these Terms or abuse the Service.
• If your subscription ends, your cloud-stored audio, transcripts, and AI data will be retained for 30 days after expiration.
  During this period, you cannot access cloud data unless you renew your subscription. If your subscription is not renewed within 30 days, all your cloud data will be permanently deleted. Only local data on your device will remain accessible.

10. Third-Party Services

• TalkaNote integrates with Apple, Firebase, RevenueCat, OpenAI, and other third-party services.
• Use of these services is subject to their own terms and privacy policies.
• TalkaNote is not responsible for the content, privacy, or practices of third-party services.

11. Copyright and DMCA

TalkaNote respects intellectual property rights. If you believe content within the Service infringes your copyright, contact contact@talkanote.com. Verified DMCA requests will be handled promptly as required by law.

12. Disclaimer of Warranties

• The Service is provided “as is” and “as available.”
• TalkaNote disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
• No advice or information from TalkaNote creates any warranty not expressly stated here.

13. Limitation of Liability

• To the maximum extent permitted by law:
• TalkaNote and its developer are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, data, or business interruption.
• The total liability for any claim shall not exceed the amount paid (if any) for the Service in the 12 months prior to the claim.

14. Indemnification

You agree to indemnify and hold harmless TalkaNote, its developer, and service providers from and against any claims, damages, losses, liabilities, or expenses (including attorneys’ fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

15. Modifications and Updates

• TalkaNote may update these Terms at any time.
• Material changes will be communicated in the app or at www.talkanote.com.
• Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

• These Terms are governed by the laws of Sweden, without regard to conflict of law rules.
• Disputes will be resolved by the courts of Stockholm, Sweden, unless otherwise required by law.
